We are committed to managing the financial affairs of our clients expertly and confidentially, and as such, on an annual basis we provide, or offer to provide, certain information to you about CIM, LLC (d/b/a Curran Wealth Management and d/b/a Curran Investment Management).
1. For our retail “natural person” clients, we are required to communicate any changes to our Form ADV Part 3 Client Relationship Summary (Form CRS). The material change to our Form CRS filed on March 27, 2026,follows.

CIM, LLC is a licensed insurance agency and earns commissions for selling various insurance products to you. This creates a financial incentive and conflict which is further described in Item 10 of our Form ADV Part 2A, available at this link: adviserinfo.sec.gov/firm/summary/132136.

2. Regulations require us to annually deliver in full or provide you with a summary of material changes we made to our Form ADV Part 2A and Wrap Brochure, with an offer to provide the full brochure upon request. The material changes to our Form ADV Part 2A and Wrap Brochure filed on March 27, 2026, follow.
· Risk of Loss
Although CIM, LLC makes every effort to preserve each client’s capital and achieve real growth of wealth, investing in the stock markets involves risk of loss that each client should be prepared to bear. Equity risk of loss consists of both market and security risk. Equities generally fluctuate in value more than fixed-income and may decline significantly over short time periods. The value of equity shares may fluctuate due to changes in the overall stock market or result from company or industry specific factors that specifically affect a company. Fixed-income investments are exposed to different risk factors, credit and interest rate risk. Money market and cash sweep accounts are subject to these risks as well. Credit risk is the possibility that the company will default, failing to make interest or principal payments. Interest rate risk stems from rising interest rates resulting in lower prices.
· Insurance Product Sales
CIM,LLC is also a licensed insurance agency in New York (license number LA-1950669and LB-1950669). As a licensed insurance agency, CIM, LLC receives commissions on the sale of insurance products purchased by clients through CIM, LLC’s employees who are licensed insurance agents. CIM, LLC employees do not directly receive any compensation based on the sale of insurance products; however CIM,LLC may provide discretionary compensation to employees based on the net commission paid to CIM, LLC. The insurance commissions received by CIM, LLC are separate from any advisory fees that a client pays to CIM, LLC for investment advisory services. This presents a conflict of interest because CIM, LLC has an incentive to recommend insurance products as they would earn a commission. When recommending commissionable products to clients, CIM, LLC has a duty to recommend only products that are suitable for the client. Clients are not obligated to act on any insurance recommendations or place any insurance transactions through CIM, LLC if they decide to follow CIM, LLC’s recommendations.
· Mutual Fund Share Classes
CIM,LLC’s policy is to purchase the lowest cost share class available within a selected fund. F2 class shares are generally the lowest cost available for CIM,LLC to purchase in client accounts. However, some legacy mutual fund holdings in client accounts are not F2 shares. In these cases it would not be beneficial for the client to convert to F2 shares as they have already paid into the fund and a conversion would result in them paying additional fees. In order for CIM,LLC to purchase a particular share class, it must be available for CIM, LLC to purchase through the client’s custodian.
· Proxy Voting
In the event the management of a particular company does not provide a voting recommendation with their proxy vote, CIM, LLC will tend to abstain from voting unless they perceive a conflict with shareholder value.

3. There have been no material changes made to our Form ADV Part 2B since the last annual update, which most recently occurred on March 28, 2024.
